Terms of Service

These Terms of Service ("Terms") govern your use of MaterialOS, a business management service operated by Scopelyt Technologies Private Limited ("Scopelyt", "we", "us"), at materialos.scopelyt.com and through our Android application.

By creating an account or using MaterialOS, you agree to these Terms. If you do not agree, do not use the service.

01The service

MaterialOS helps Indian retailers manage stock, sales, purchases, customer credit (udhaar), supplier records, and business reports across one or more shop locations. It supports multiple staff accounts with role-based access.

MaterialOS is not:

  • Accounting software (no double-entry bookkeeping, balance sheet, or trial balance)
  • A GST return filing service (it produces registers your accountant can use)
  • A payment gateway for your customers (payment records in MaterialOS are ledger entries, not live payment processing)

We may update, add, or remove features over time. We will not materially reduce core functionality during a paid subscription period without notice, except where required for security or legal compliance.

02Who may use MaterialOS

You must:

  • Be at least 18 years old
  • Operate or manage a legitimate business, or be authorized staff of such a business
  • Provide accurate registration information
  • Keep your login credentials secure

You are responsible for all activity under your account, including actions by staff you invite.

03Accounts and roles

The owner account controls business settings, staff invitations, and billing. Staff accounts receive permissions based on their assigned role (owner, manager, sales staff, inventory staff, accountant). Owners are responsible for ensuring staff use MaterialOS appropriately and for data they enter about customers and suppliers.

04Your data and responsibilities

4.1 Your business data

You retain ownership of the business data you enter into MaterialOS (customers, suppliers, transactions, etc.). You grant Scopelyt a limited license to host, process, and display that data solely to provide the service.

4.2 Customer and supplier data

When you enter personal information about your customers or suppliers, you are responsible for:

  • Having a lawful basis to collect and use that information
  • Informing those individuals as required by applicable law
  • Entering accurate information

Scopelyt processes this data on your behalf as part of providing the service. See our Privacy Policy at /privacy for details.

4.3 Prohibited use

You may not:

  • Use MaterialOS for unlawful purposes
  • Attempt to access another business's data
  • Reverse engineer, scrape, or overload the service
  • Upload malware or abusive content
  • Misrepresent your business or impersonate others
  • Resell or sublicense access without our written permission

We may suspend or terminate accounts that violate these rules.

05Free trial

New businesses receive a 30-day trial with Pro plan features. No credit card is required to start a trial.

When the trial ends:

  • Your data remains visible and exportable
  • New sales, purchases, and adjustments are blocked until you choose a paid plan
  • There is no permanent free plan

06Subscriptions and payment

6.1 Plans

Paid plans (Starter, Growth, Pro) are described on our pricing page at materialos.scopelyt.com/#pricing. Plan limits (shops, staff, invoices) are enforced as described there and in your account.

6.2 Billing

Subscriptions are billed through our website via Razorpay. The MaterialOS Android app does not process in-app purchases. To subscribe or manage billing, you will be directed to the web app.

6.3 Pricing

Prices are listed in Indian Rupees and include GST unless stated otherwise. We may change prices for future billing periods with reasonable notice. Price changes do not affect your current paid period.

6.4 Annual and monthly billing

  • Annual plans are charged upfront for 12 months. If you cancel an annual plan, service continues until the end of the paid period. We do not provide mid-year refunds for unused months.
  • Monthly plans renew each month until cancelled.

6.5 Failed payments

If a payment fails, we may retry or suspend write access until payment is resolved. Read access to historical data may remain available as described in our pricing policy.

07Data isolation and availability

Each business account is isolated. Your data is not visible to other MaterialOS customers.

We aim for reliable uptime but do not guarantee uninterrupted access. We may perform maintenance with or without notice. We are not liable for losses caused by downtime, though we will work to restore service promptly.

08Intellectual property

MaterialOS software, design, logos, and documentation are owned by Scopelyt or its licensors. These Terms do not grant you ownership of the service. You may not copy or redistribute the application except as permitted by law.

Your business data remains yours. You may export it using built-in export features.

09Confidentiality of business information

We treat your business data as confidential and use it only to provide the service, as described in our Privacy Policy. We do not sell your business data.

10Disclaimer of warranties

MaterialOS is provided "as is" to the extent permitted by law. We do not warrant that the service will be error-free or that reports are suitable for your specific tax or legal obligations. You are responsible for verifying figures with your accountant or advisor.

Business decisions based on MaterialOS data (pricing, credit limits, stock levels) are your responsibility.

11Limitation of liability

To the maximum extent permitted by applicable law, Scopelyt and its directors, employees, and affiliates are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption.

Our total liability for any claim arising from these Terms or the service is limited to the amount you paid to Scopelyt in the 12 months before the claim arose, or ₹10,000, whichever is greater.

Some jurisdictions do not allow certain limitations. In those cases, our liability is limited to the fullest extent permitted by law.

12Indemnity

You agree to indemnify and hold Scopelyt harmless from claims arising from your use of MaterialOS, your business data, your violation of these Terms, or your violation of any law or third-party rights.

13Termination

By you: You may stop using MaterialOS at any time. To delete your account, go to Settings → Account → Delete account in the app or web app. See our Privacy Policy — Account deletion at /privacy#account-deletion for what is deleted and retained.

By us: We may suspend or terminate your account if you breach these Terms, fail to pay, or if required by law. We will provide notice where reasonable.

On termination, your right to use the service ends. Data handling after termination is described in our Privacy Policy.

14Changes to these Terms

We may update these Terms. We will post the revised version and update the effective date. For material changes, we will notify account holders by email or in-app notice. Material changes require explicit re-acceptance through an in-app prompt at your next login before you can continue using MaterialOS. Continued use without re-acceptance is not permitted.

15Governing law and disputes

These Terms are governed by the laws of India. Courts at Kolkata, West Bengal have exclusive jurisdiction, subject to applicable consumer protection laws.

Before formal proceedings, we encourage you to contact help@scopelyt.com so we can try to resolve the issue directly.

16General

  • Entire agreement: These Terms and the Privacy Policy are the full agreement between you and Scopelyt regarding MaterialOS.
  • Severability: If any provision is unenforceable, the rest remains in effect.
  • No waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign your account without our consent. We may assign our rights in connection with a merger or sale.
